Terms and Conditions for Wapi

These Terms and Conditions (the "Terms") govern your access to and use of the Wapi mobile application (the "App"). The App enables users to create and participate in private circles, share certain status information (including location and device status) with circle members, and access optional premium features.

By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old to use the App. If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Accounts and Security

You may access the App through supported sign-in methods (for example, Apple or Google sign-in). You are responsible for:

• Maintaining the confidentiality of your account credentials and any device-level access to the App.
• All activities that occur under your account.
• Ensuring your account information is accurate and up to date.

We may require you to verify ownership of an account before we take certain actions (including deletion requests and access restoration).

3. Your Use of the App

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the App for your personal, non-commercial use.

You agree not to:

• Copy, modify, distribute, sell, lease, or sublicense any portion of the App.
• Reverse engineer, decompile, or attempt to extract source code except to the extent such restrictions are prohibited by applicable law.
• Circumvent or disable security-related features, access controls, or rate limits.
• Use the App in any manner that violates applicable law or infringes the rights of others.

4. Circles, Invitations, and Member Relationships

Circles are private spaces intended for trusted participants. You are responsible for how you create, share, and use invitation codes, links, or QR codes.

You agree that:

• You will only invite or add individuals you have the right to invite.
• You will not use the App to stalk, harass, threaten, or monitor individuals without their knowledge and consent.
• You will respect the privacy and safety of other members and comply with any applicable location-privacy laws.

We do not verify that circle members have a particular relationship to each other, and we do not guarantee the identity of any user.

5. Location, Notifications, and Safety Notice

The App may allow you to share location information and device status (such as battery level), receive push notifications, and add events to your device calendar. You control these features through device permissions and in-app actions.

You acknowledge and agree:

• Location and device status information may be inaccurate, delayed, incomplete, or unavailable.
• Push notifications and calendar-related features may be delayed, unavailable, or affected by device settings, platform providers, or network conditions.
• The App is provided for convenience and coordination only and must not be relied upon for emergency services, medical situations, law enforcement, or safety-critical decisions.
• You are solely responsible for obtaining any required consents from others before sharing information about them.

6. User Content and Permissions

"User Content" includes information you provide or upload through the App, such as display names, avatars, circle names/descriptions, member aliases, and event details (including optional notes, links, and location details).

You retain ownership of your User Content. However, you grant us a worldwide, royalty-free, sublicensable license to host, store, reproduce, transmit, and display your User Content solely to operate, maintain, and improve the App and to make your content available to users you authorize (e.g., circle members).

You represent and warrant that you have all rights necessary to provide your User Content and that it does not violate law or infringe the rights of any third party.

7. Premium Features, Purchases, and Billing

Some features may require a paid subscription or one-time purchase ("Premium Features"). Premium Features are purchased and billed through your mobile platform's payment processor and are subject to the platform's billing terms.

To the extent permitted by applicable law:

• All charges are processed by the platform payment processor, not directly by us.
• Subscription management (including cancellation) is handled through your device's account settings.
• Refund requests are handled according to the platform payment processor's policies.
• Premium entitlements may be managed by a billing partner acting on our behalf to validate receipts and determine active subscription status.

We may change Premium Features, pricing, or availability at any time, subject to applicable law and platform rules.

8. Prohibited Conduct

You agree not to engage in any of the following:

• Illegal, harmful, or abusive conduct (including harassment, threats, or hate content).
• Misrepresentation or impersonation of another person or entity.
• Attempts to access another user's account, circles, or information without authorization.
• Uploading malicious code or interfering with the App's operation, integrity, or performance.
• Automated scraping, bulk extraction, or reverse engineering of data, including circle membership and status information.

9. Termination and Suspension

We may suspend or terminate your access to the App at any time, with or without notice, if we reasonably believe you violated these Terms, pose a risk to other users, or if required by law.

You may stop using the App at any time. You may also request account deletion as described in our Privacy Policy.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ALL FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the App will be uninterrupted, error-free, secure, or free of harmful components, or that any content or status information (including location) will be accurate or available.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WAPI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US (IF ANY) FOR THE APP IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Wapi and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your User Content; or (c) your violation of these Terms or applicable law.

13. Governing Law; Disputes

Unless otherwise required by applicable law, these Terms are governed by the laws of the jurisdiction in which we are established, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the App will be resolved in the courts of competent jurisdiction, unless mandatory consumer protections provide otherwise.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and provide notice within the App or through other reasonable means. Your continued use of the App after the effective date of updated Terms constitutes acceptance of the revised Terms.
